Terms of Service

These Terms of Service ("Terms") govern your use of UDM — Universal Download Manager ("UDM", "the Software", "our Product"), operated by Mark Emmanuel Romero (ABN 12 277 291 396), located at 16 Farmer St, Mount Pleasant QLD 4740, Australia ("we", "us", "our").

By downloading, installing, or using UDM, you agree to be bound by these Terms. If you do not agree to these Terms, do not download, install, or use the Software.

1. Description of Service

UDM is a download management application for Microsoft Windows that accelerates file downloads, captures media from supported websites, integrates with web browsers, and provides scheduling and organisation tools for managing downloaded files.

2. Eligibility

You must be at least 18 years of age, or the age of majority in your jurisdiction, to use UDM. By agreeing to these Terms, you represent and warrant that you meet this eligibility requirement.

3. Free Trial

UDM offers a free trial period of six (6) months from the date of initial installation. During the trial period:

  • All features of UDM are available without limitation.
  • No credit card or payment information is required to begin the trial.
  • No charges will be incurred during the trial period.
  • At the end of the trial period, the Software will cease to function until a paid subscription is activated.
  • There are no automatic charges or conversions to a paid plan at the end of the trial. You must actively choose to subscribe.

4. Subscription and Payment

4.1 Pricing

After the free trial period, continued use of UDM requires an annual subscription of $12.00 USD per year ("Annual License"), billed annually.

4.2 Billing

The subscription is billed once per year at the rate of $12.00 USD. Payment is due at the time of subscription activation and on each annual renewal date thereafter.

4.3 Payment Methods

We accept Visa, Mastercard, American Express, PayPal, and other major payment methods through our secure third-party payment processor. We do not store your full payment card details on our servers.

4.4 Cancellation

You may cancel your subscription at any time from your UDM account dashboard. Upon cancellation:

  • Your subscription remains active until the end of the current billing period.
  • No further charges will be made after the current billing period ends.
  • No partial refunds are provided for unused time within a billing period.

4.5 Price Changes

We reserve the right to change subscription pricing. Any price changes will be communicated at least 30 days before taking effect. Price changes will not affect your current billing period.

5. License Grant

5.1 Grant

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use UDM on one (1) device for personal or commercial purposes.

5.2 Restrictions

You may not:

  • Copy, modify, distribute, sell, or lease any part of the Software.
  • Reverse engineer, decompile, or disassemble the Software, except where permitted by applicable law.
  • Use the Software to violate any applicable laws or regulations.
  • Remove, alter, or obscure any proprietary notices in the Software.
  • Use the Software to download copyrighted content without proper authorisation from the rights holder.
  • Share, transfer, or sublicense your license to another person or entity.
  • Use the Software in a manner that could damage, disable, or impair any server, network, or other user's equipment.

6. Intellectual Property

UDM and all associated intellectual property rights, including but not limited to copyrights, trademarks, trade secrets, and patents, are and remain the exclusive property of Mark Emmanuel Romero. These Terms do not grant you any ownership rights in the Software.

7. User Responsibilities

You are solely responsible for:

  • Ensuring that your use of UDM complies with all applicable laws, including copyright and intellectual property laws.
  • The content you download using UDM. We do not monitor, control, or endorse any content downloaded through the Software.
  • Maintaining the security of your account credentials.
  • Any activity that occurs under your account.

8. Third-Party Content and Services

UDM may interact with third-party websites and services to facilitate downloads. We are not affiliated with, endorsed by, or responsible for any third-party website or service. Your use of third-party services is governed by their respective terms and policies.

9. No Bundled Software

UDM does not bundle, include, or install any third-party software during installation or at any time during use. The UDM installer installs only the UDM application and its required components.

10. Updates

UDM may periodically check for and install updates to improve functionality, security, and compatibility. You agree to receive these updates as part of your use of the Software. Updates are subject to these Terms.

11. Uninstallation

UDM can be removed at any time through the standard Windows uninstallation process (Windows Settings > Apps, or Control Panel > Programs and Features). Uninstallation will:

  • Completely remove the Software and all of its components.
  • Reverse any configuration changes made by the Software (such as browser integration settings).
  • Not affect your previously downloaded files.
  • Not leave behind any background processes or services.

12. Privacy

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

13. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, UDM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Software will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant that the Software will meet your specific requirements.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MARK EMMANUEL ROMERO OR ANY AFFILIATED PARTIES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SOFTWARE.

Our total aggregate liability to you for all claims arising from or relating to these Terms or the Software shall not exceed the amount you have paid us in the twelve (12) months preceding the claim.

15. Indemnification

You agree to indemnify, defend, and hold harmless Mark Emmanuel Romero and any affiliated parties from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from or related to your use of the Software, your violation of these Terms, or your violation of any rights of a third party.

16. Termination

We may terminate or suspend your license to use UDM at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason at our sole discretion. Upon termination, your right to use the Software ceases immediately.

17. Governing Law

These Terms are governed by and construed in accordance with the laws of Queensland, Australia. Any dispute arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of Queensland, Australia.

18. Australian Consumer Law

Nothing in these Terms is intended to exclude, restrict, or modify any consumer guarantees, rights, or remedies conferred under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) or any similar applicable legislation that cannot be excluded, restricted, or modified by agreement.

19. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

20. Changes to Terms

We reserve the right to update or modify these Terms at any time. Changes will be effective upon posting the updated Terms on our website. We will make reasonable efforts to notify users of material changes. Your continued use of the Software after changes are posted constitutes acceptance of the revised Terms.

21. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Mark Emmanuel Romero regarding the use of UDM and supersede all prior agreements and understandings.
